1. Agreement to Terms
By accessing our website, purchasing the SaaS Founders Suite, downloading the source code repositories, or commissioning our Done-For-You deployment services, you ("Licensee," "Buyer," or "you") agree to be legally bound by these Terms of Service & Commercial License Agreement ("Terms").
If you are entering into this agreement on behalf of a company or legal entity, you represent and warrant that you possess the authority to bind such entity to these Terms.
2. Commercial License Grant
Upon receipt of verified payment (one-time fee of ₹39,499 INR / ~$410 USD, subject to active discounts such as LAUNCH20), U-Elements grants you a perpetual, non-exclusive, worldwide commercial white-label license to:
- Self-Host: Deploy, install, and run both SaaS applications (ScanFix and TeleScript AI) and the bonus AI Product Store on your own cloud hosting, virtual servers, or domains.
- Rebrand & White-Label: Remove all default U-Elements references and replace them with your own brand name, custom logo, domain, and styling.
- Monetize & Retain 100% Revenue: Offer access to end-users as paid subscription services, one-off audit reports, or client retainer deliverables, and retain 100% of all customer fees with zero revenue-sharing, royalty obligations, or platform taxes.
- Modify & Customize: Adapt, modify, integrate third-party APIs, and extend the unencrypted source code as needed for your business.
3. Deliverables & Inclusions

4. Permitted vs. Prohibited Uses
Strict Resale Restriction: You are purchasing a license to run, rebrand, and sell software services to end-users. You are NOT purchasing the right to resell the raw codebase, git repositories, or templates as a competing software developer boilerplate.
Permitted Activities:
- Charging end-users monthly/annual SaaS subscription fees.
- Charging agency clients for automated website audits and creator script workflows.
- Selling preloaded digital AI products and tools via your WooCommerce store.
- Selling an individual deployed business instance as part of a complete corporate asset sale.
Prohibited Activities:
- Distributing, sharing, publishing, or reselling the raw unencrypted codebase or Git repositories publicly or on developer marketplaces (e.g. CodeCanyon, GitHub public, ThemeForest).
- Claiming proprietary ownership or rights to the brand names "ScanFix" or "Exvion Global Pvt. Ltd." (you must rebrand prior to public commercialization).
- Using the software for unlawful, malicious, or abusive activities.
5. 72-Hour DFY Deployment Service Terms
As part of your acquisition, our engineering team provides complimentary Done-For-You deployment of both SaaS applications and your AI product store to your cloud hosting accounts (typically Render for application compute and Supabase for Postgres databases).
- 72-Hour SLA Window: The 72-hour installation period begins only once you have provided all required environment credentials, domain names, and third-party API keys (e.g. OpenAI API key).
- Infrastructure Ownership: You own all cloud accounts directly. U-Elements does not retain ongoing administrative credentials after your live verification and handover.
- Free-Tier Limitations: Both Render and Supabase offer generous free tiers. As documented in our technical FAQ, Render's free tier sleeps instances after 15 minutes of inactivity (~30s wake-up time), and Supabase free tier supports up to 50,000 monthly active users. Upgrading to paid tiers is at the Licensee's discretion and cost.
6. Intellectual Property & Brand Rights
U-Elements retains foundational copyright in the underlying architecture and templates. The Licensee owns all customer data, user databases, custom code modifications, proprietary brand collateral, and 100% of all generated revenue.
7. Warranties & Written Smart SLA Guarantee
Except as explicitly stated in our written Smart Technical SLA Guarantee (governed by our Refund Policy), the software is delivered on an "as-is" and "as-available" basis.
Our written Smart SLA Guarantee commits us to:
- Completing your Done-For-You installation within 72 hours of receiving required details, or issuing a 100% refund.
- Resolving any verified functional codebase defect within 7 business days of report during your initial launch window, or issuing a 100% refund.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall U-Elements, its founders, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption, arising out of the use or inability to use the software. In all circumstances, our maximum aggregate liability is strictly limited to the amount actually paid by you for the software license.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
