1. Acceptance of Terms & Parties
By browsing, creating an account, or purchasing digital assets on UniteElements ("Platform"), you agree to be bound by these Terms and Conditions and all incorporated policies (including our License Agreement, Delivery Policy, and Privacy Policy). If you are acting on behalf of a corporation or entity, you represent that you possess legal authority to bind that entity.
2. Digital License Purchases & Grant of Rights
All transactions convey a revocable, non-exclusive, non-transferable (except via official ownership token) license to use digital software codebases in accordance with your purchased tier (Single-Site, Multi-Site, Agency, or Enterprise). Purchases do not transfer underlying copyright or proprietary trademarks of UniteElements.
3. Account Security & License Key Confidentiality
You are solely responsible for maintaining the confidentiality of your account credentials and cryptographic license keys. You must immediately notify UniteElements of any unauthorized credential access or suspected license key leaks. Distributing keys publicly or uploading codebases to public code repositories is strictly prohibited.
4. Payments, Currency & Billing Protocols
Prices are shown in INR (₹) or USD ($) depending on your geolocation. Transactions are processed securely via our Merchant of Record and payment gateway partners (Paddle Billing and Stripe). All subscriptions renew automatically unless canceled before the scheduled billing date via your Customer Portal.
5. Disclaimer of Warranties & Limitation of Liability
Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. In no event shall UniteElements or its contributors be liable for indirect, punitive, incidental, or consequential damages, including loss of data or business interruption, exceeding the total amount paid by the customer in the preceding 12 months.
6. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in Odisha, India.
