Software License Agreement

By purchasing, downloading, or activating software distributed by UniteElements (operated by Jyotirmay Ray, Bhubaneswar, Odisha, India), you are granted a non-exclusive, non-transferable, revocable commercial license to use the software according to the specific license tier purchased.

This License Agreement applies to all WordPress themes, plugins, software bundles, turnkey websites, and developer SaaS tooling acquired through uniteelements.com. Purchasing a license confers usage rights; it does not constitute a sale of the underlying copyrights, patents, or intellectual property.

Because licensing terms depend on the specific product purchased, the exact activation capacity is clearly specified on each product’s checkout console:

UniteElements provides 100% complete, unminified source code without obfuscation, backdoors, or ionCube runtime wrappers. This empowers developers to customize stylesheets, hooks, templates, and functions to meet bespoke project requirements.

• GPL Compliance: PHP components derived from WordPress core APIs are licensed under the GNU General Public License (GPL v2 or later).
• Proprietary Assets: All custom visual assets, design system tokens, layout architectures, branding materials, SVG artwork, CSS styling frameworks, and proprietary JavaScript integrations remain the exclusive copyrighted property of UniteElements and Jyotirmay Ray.
• Custom Derivative Works: You may modify the code for your own licensed deployment, but such modifications do not grant you ownership of the original software base.

Under no circumstance does this license grant you permission to:

• Sub-license or Resell: Sell, rent, lease, sub-license, bundle, or redistribute our software, source code, or templates as standalone digital goods on theme marketplaces, your own store, or agency catalogs.
• Public Repository Uploads: Upload unmodified or modified software files to public repositories (such as public GitHub, GitLab, or Bitbucket branches) where third parties can clone or download the code.
• “Nulled” Distribution: Distribute, share, or upload our code to warez, nulled script websites, forums, torrent trackers, or Telegram channels.
• License Circumvention: Decompile, reverse engineer, or patch the theme or plugin to bypass license key verification, domain handshakes, or update endpoints.

If you are an agency, freelancer, or developer building turnkey client websites:

• Single-Site Handover: You may use a Single-Site License to build a finished commercial website for a specific client and transfer the completed website to them, provided you transfer the active license key or have the client purchase their own key for ongoing updates.
• Developer / Agency Tier: You can manage multiple client websites under your own agency master key. If a client terminates their agency contract and requires independent ownership of automated updates, they must acquire an individual license.
• No Multi-Client Distribution on Single Keys: A Single-Site License may never be simultaneously deployed across multiple production websites for different end-clients.

Support & Updates Term: Each license includes access to software updates (security patches, feature enhancements, and WordPress core compatibility updates) and technical support for the period specified at purchase (typically 1 year or lifetime, depending on the product tier selected).

Post-Expiration Usage: If an annual license expires, your installed software will continue to function normally on already-activated domains. However, you will no longer receive automated 1-click updates, security patches, or technical support tickets until the license is renewed.

UniteElements reserves the explicit right to remotely deactivate and permanently revoke any cryptographic license key without refund if:

• The key is detected on unauthorized public domain distributions or warez forums.
• A chargeback or payment fraud investigation is initiated regarding the order.
• The licensee breaches any restriction defined within this License Agreement or the Terms & Conditions.
